1. About these Terms

These Terms and Conditions ("Terms") govern your use of the Shazly Academy (FZE) platform (the "Platform"), operated by Shazly Academy (FZE) — شاذلى اكاديمى (م.م.ح) — a Free Zone Establishment licensed by the Sharjah Research Technology and Innovation Park (SRTIP), Sharjah, United Arab Emirates, under licence number . Registered office: Block C VL02-047, SRTIP, Sharjah, United Arab Emirates. By accessing or using the Platform you agree to be bound by these Terms.

If you are under 18 years of age, you may use the Platform only under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.

2. Definitions

• "Platform" — the website at tutor.shazlyacademy.com and any related services.
• "Student" — a user, including a minor (under 18), who books lessons through the Platform.
• "Parent" — the parent or legal guardian of a Student under 18, who has consented to the Student's use of the Platform.
• "Tutor" — an independent contractor who provides tutoring services through the Platform.
• "Lesson" — a one-to-one, group, or recorded tutoring session.
• "Content" — any material uploaded, posted, or transmitted through the Platform.

3. Eligibility and accounts

1. You must be at least 13 years old to register as a Student. Students aged 13–17 must have a Parent register and consent on their behalf before accessing any Lessons.
2. Tutors must be at least 18 years old, hold a valid government-issued ID, possess relevant teaching qualifications, and pass our background-check process including submission of a Certificate of Good Conduct (شهادة حسن السيرة والسلوك) or equivalent.
3. You agree to provide accurate, current, and complete information during registration and to maintain it.
4. You are responsible for safeguarding your account password. We are not liable for any loss arising from unauthorised use of your account.
5. We reserve the right to suspend or terminate any account that violates these Terms or applicable UAE law.

4. Booking, payment, and commission

1. Lessons are booked through the Platform and paid in AED unless otherwise indicated.
2. Payment is processed by Stripe Payments Europe Ltd. or other authorised processors. By making a payment you accept the terms of the relevant payment processor.
3. The Platform charges a commission on each lesson. Commission rates vary by tutor tier and are disclosed in the Tutor agreement.
4. Students are charged in full at booking. Funds for the Tutor are held until the lesson is completed.

5. Cancellation, rescheduling, and refunds

1. You may cancel a one-to-one lesson 48 hours or more before the scheduled start time and receive a 100% refund.
2. Cancellations made less than 48 hours before the scheduled start time are non-refundable.
3. Rescheduling is allowed up to 24 hours before the lesson, subject to Tutor availability.
4. If the Tutor cancels or fails to attend a lesson, the Student receives a 100% refund.

6. Recording and AI monitoring

1. All Lessons are recorded automatically as a safety measure. By using the Platform you consent to the recording of every session in which you participate.
2. Recordings are stored for a minimum of 90 days. Parents may view recordings of their child's Lessons during this period through the Parent Dashboard.
3. Chat messages between Students and Tutors are monitored by an automated system to detect contact-exchange attempts, abusive language, and indicators of harmful behaviour, in line with our Safeguarding Policy.
4. Recordings and flagged messages may be reviewed by our Designated Safeguarding Lead and, where required by UAE law, shared with relevant authorities.

7. Tutor obligations

1. Tutors are independent contractors and are not employees of the Platform.
2. Tutors must complete all background-verification documents and our online safeguarding-training module before being approved.
3. Tutors must hold lessons exclusively through the Platform's meeting tool and must not arrange direct lessons with Students outside the Platform.
4. Tutors must not request or accept payment from Students outside the Platform.
5. Sharing personal contact information with Students (phone, social-media, personal email) is prohibited and will result in suspension.

8. Acceptable use

You must not use the Platform to:

• Engage in any illegal activity under UAE Federal Decree-Law No. 34 of 2021 on Combating Rumors and Cybercrimes;
• Transmit abusive, threatening, sexually explicit, hateful, or politically inflammatory content;
• Distribute or solicit any content that infringes on the rights of a child as defined by Federal Law No. 3 of 2016 (the Wadeema Law);
• Send unsolicited commercial messages or promotional content;
• Reverse-engineer, scrape, or otherwise interfere with the Platform's technical operation.

9. Intellectual property

All Platform materials, including the brand, logo, content, and software, are the intellectual property of Shazly Academy (FZE) or its licensors. You may not copy, reproduce, or distribute these materials without our written permission. Tutor-created lesson plans and content remain the intellectual property of the Tutor, subject to a licence granted to the Platform for delivery purposes.

10. Limitation of liability

To the maximum extent permitted by UAE law, our liability arising out of or in connection with your use of the Platform is limited to the total amount you have paid us in the six (6) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless Shazly Academy (FZE), its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Platform.

12. Governing law and dispute resolution

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the SRTIP Free Zone (Sharjah Research Technology and Innovation Park), Sharjah, United Arab Emirates, with the courts of Sharjah having residual jurisdiction, unless mandatory consumer-protection law dictates otherwise.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email and posted on the Platform. Continued use after the effective date constitutes acceptance of the changes.
